Memo App Terms of Use Survey
The Terms of Use (or, the “Terms”) presented below are the basic rights and obligations that you and we have between us when you use our Services. The language of the Terms will seem legal (basically because they are) but we still tried to make them as simple as possible for you to read, so that we are sure that you knowingly choose to enjoy our Services under these binding Terms (which constitute a binding agreement between Memo App Service corporation. And yourself).
When you use our Services, in addition to enjoying a world of good Memo App, you also agree to the Terms, and they affect your rights and obligations. You can choose not to enjoy the Services, if you don’t want these Terms to apply (and by these Terms we also mean our Privacy Policy, DCMA policy, and other policies on our policies page, which are incorporated herein).
1. Your Memo Survey User Account
1.1 Eligibility.
Memo Survey is used by people who are interested in taking surveys using Memo Survey. The people who create the surveys taken by Survey Creators are either (i) Providers of Memo Servey's services or (ii) a third-party vendor we may use, upon your consent, to map certain non-personal data to specific venues and locations or such third party's customers, and in both the case of (i) and (ii) are interested in sending surveys to Panelists through Memo Survey. You may only use Memo Survey if you are in the United States, and you have created a Memo App account (a “Memo App User Account”). If you do not meet all the Requirements or do not create a Memo App User Account, you should not access or use the Memo App Survey.
1.2 Memo Survey Basic Plan.
When you register for a Memo App User Account, you also get a Memo Survey account free plan, which you can use to Complete surveys and Complete video tasks. You agree that your use of the Memo App account is subject to the General Terms.
1.3 One non-transferable account per person.
Your Memo App User Account is personal to you, not transferable, and only intended for personal use. You may only have one active Memo App User Account at any time. Multiple Memo app User Accounts for any person are subject to termination.
1.4 Keep your Password Secure.
If you have been issued a Memo App User Account in connection with your use of the Memo App, you are responsible for safeguarding your password and any other credentials used to access that user account. You, and not Memo App, are responsible for any activity occurring in your Memo App User Account (other than activity that Memo App is directly responsible for which is not performed in accordance with your instructions), whether you authorized that activity. If you become aware of any unauthorized access to your Memo App User Account, you should notify Memo App immediately. Memo App User Accounts may not be shared and may only be used by one individual per account.
1.5 Keep Your Details Accurate.
We occasionally send notices to the email address registered with your Memo App User Account. You must keep your email address and, where applicable, your contact details associated with your Memo App User Account current and accurate.
2. How Memo App Works
2.1 Description.
Memo App allows Survey Creators to distribute their surveys to you if you have information in your Memo App User Account profile that matches the demographic that Survey Creators wish to target. More information about the personal information that we collect can be found in the Privacy Notice, our main Privacy Notice, and our Region-Specific Privacy Notice.
Each time you fully complete such an eligible survey in accordance with these TOU, you will earn Reward Credits (as defined below) which you may, after a certain threshold has been met, redeem for cash.
Occasionally, we may invite you to answer questionnaires or “profilers” which gather more profile data (i.e., information about you) so we can send you surveys that better match your interests. Profilers are not eligible surveys and do not earn Reward Credits unless otherwise specified in Memo App.
3. Your Use of the Memo app
3.1 Compliance.
Your use of the Memo app is conditioned upon your compliance with these TOU (including, but not limited to, meeting all the Requirements listed above) and any other provisions in Memo app governing such use. In the event of your non-compliance with these TOU or any provisions in Memo app, fraud, submitting false or untrue survey responses, cheating, providing poor quality responses (see examples here) or other inappropriate activity (as determined by Memo app in its sole discretion), Memo app may cancel or invalidate your Memo app Account, decline to issue some or all of the Rewards we choose that have accrued from your completion of surveys, or restrict, block, suspend, limit, terminate, or otherwise prevent your access to and use of the Memo app and any Reward Credits.
3.2 Your Responsibilities.
You are responsible for your conduct and content while using Memo app. You must comply with the following requirements when using Memo app:
- a. You may not use, or access Memo app for the purpose of building a competitive product or service or for any other competitive purposes.
- b. You may not misuse Memo app by interfering with its normal operation, or attempting to access it using a method other than through the interfaces and instructions that we provide.
- c. You may not circumvent or attempt to circumvent any limitations that we impose on your memo app Account (such as by opening a new Memo app Account when we have closed your memo app Account for a TOU violation).
- d. Unless authorized by us in writing, you may not probe, scan, or test the vulnerability of any Memo app system or network.
- e. Unless authorized by us in writing, you may not use any automated system or software to extract or scrape data from the websites or other interfaces of Memo app.
- f. Unless permitted by applicable law, you may not deny others access to, or reverse engineer, Memo app, or attempt to do so.
- g. You may not transmit any viruses, malware, or other types of malicious software, or links to such software, through Memo app.
- h. You may not engage in abusive or excessive usage of Memo app, which is usage significantly more than average usage patterns that adversely affects the speed, responsiveness, stability, availability, or functionality of Memo app for other users. We may, but are not required to, notify you of any abusive or excessive usage to provide you with an opportunity to reduce such usage to a level acceptable to us.
- i. You may not use Memo app to infringe the intellectual property rights of others, or to commit an unlawful activity.
- j. You may not commit fraud, submit false or untrue survey responses, cheat or undertake other inappropriate activity (as determined by us in our sole discretion) in your use of Memo app.
- k. Unless authorized by us in writing, you may not resell or lease Memo app.
4. Applicable Laws
4.1 Governing Law.
These TOU are governed by the laws of the State of California (without regard to its conflict of law’s provisions).
4.2 Jurisdiction.
Except if prohibited by applicable law, each party submits to the exclusive jurisdiction of the state courts located in San Francisco County, California, and the federal courts located in the Northern District of California with respect to the subject matter of these TOU.
5. Third Party Resources
5.1 Third Party Websites and Content.
Memo app may publish links in Memo app Rewards to internet websites maintained by third parties. Memo app does not represent that it has reviewed such third-party websites and is not responsible for them or any content appearing on them. Trademarks displayed in conjunction with Memo app or by its partners are the property of their respective owners.
6. Your Content
6.1 Collection and Use of Your Content.
While using Memo app Rewards, you may submit content to Memo app (including your personal data, survey responses and the personal data of others such as your referrals) via Memo app Rewards (your “Content”).
6.2 Limited License to Your Content.
You grant Memo app a worldwide, perpetual, royalty free license to use, reproduce, distribute, modify, adapt, create derivative works, and otherwise exploit your Content, but only for the limited purposes of providing Memo app Rewards to you, providing your survey responses to Survey Creators, and as otherwise permitted by our Memo app Rewards Privacy Notice together with any specific data use policies, privacy notices and privacy notices provided or disclosed to you. This license also extends to any trusted partners or third parties we work with to the extent necessary to provide Memo app Rewards to you. If you provide us with feedback about Memo app Rewards, we may use your feedback without any obligation to you.
6.3 Survey Ownership and Confidentiality.
All content and materials used in a memo app survey are subject to intellectual property rights owned or licensed by the Survey Creator. You do not obtain any intellectual property rights to the questions asked in such surveys by accessing or completing them. You acknowledge that such surveys are confidential. You may access them for the sole purpose of responding to them. You agree to keep them in strict confidence and to not disclose their content to any third party, except if required by law.
7. TOU Applicable to Specific Content and Areas of the Memo app Rewards
7.1 Specific Content and Areas of the Memo app Rewards.
Some areas of or content provided through Memo app Rewards may have additional rules, guidelines, license agreements, user agreements or other terms and conditions that apply to your access or use of that area or content. If there is a conflict or inconsistency between these TOU and the rules, guidelines, license agreement, user agreement or other terms and conditions for a specific area or content, the latter shall have precedence with respect to your access and use of that area or content of Memo app Rewards.
8. Indemnification
8.1 Indemnification.
You will indemnify, defend and hold harmless Memo app and its affiliates, officers, agents, and employees from all losses, claims, expenses, liabilities, damages, and costs (including settlement costs and reasonable attorneys' fees) arising out of a third-party claim regarding your Content or in connection with your or your end users' use or misuse of Memo app Rewards or breach of these TOU, to the extent that such liabilities, damages and costs were caused by you or your end users.
9. Suspension and Termination of Services
9.1 Termination of Use.
Memo app may, in its sole discretion, at any time discontinue providing or limit access to Memo app Rewards. You agree that Memo app shall not be liable to you or any third party for any termination or limitation of your access to, or use of, Memo app Rewards.
10. Other Details
10.1 Assignment.
You may not assign these TOU without Memo app's prior written consent, which may be withheld in Memo app's sole discretion. Memo app may assign these TOU at any time without notice to you.
10.2 Entire Agreement.
These TOU constitute the entire agreement between you and Memo app, and they supersede any other prior or contemporaneous agreements, terms, and conditions, written or oral concerning its subject matter.
10.3 Independent Contractors.
The relationship between you and Memo app is that of independent contractors, and not legal partners, employees, or agents of each other.
10.4 Interpretation.
The use of the terms “includes”, “including”, “such as”, and similar terms, will be deemed not to limit what else might be included.
10.5 No Waiver.
A party's failure or delay in enforcing a provision under these TOU is not a waiver of its right to do so later.
10.6 Severability.
If any provision of these TOU is determined to be unenforceable by a court of competent jurisdiction, that provision will be severed, and the remainder of these TOU will remain in full effect.
10.7 Third Party Beneficiaries.
There are no third-party beneficiaries to these TOU.
10.8 Language.
These TOU are prepared and written in English. To the extent that any translated version conflicts with the English version, the English version controls, except were prohibited by applicable law.
11. Changes and Updates
11.1 Changes to TOU.
Memo App may change these TOU at any time for a variety of reasons, such as to reflect changes in applicable law or updates to Memo app, and to account for new features or functionality. The most current version will always be posted on our website. If an amendment is material, as determined in Memo app's sole discretion, Memo app will notify you by email. Notice of amendments may also be posted to Memo app's blog or upon your login to your Memo app Rewards User Account. Changes will be effective no sooner than the day they are publicly posted. For certain changes to become effective, applicable law may require Memo app to obtain your consent to such changes, or to provide you with sufficient advance notice of them. If you do not want to agree to any changes made to the TOU, you should stop using Memo app Rewards, because by continuing to use Memo app Rewards you indicate your agreement to be bound by the updated TOU.

1. Legal Capacity; Children and Minors
If you are under the age of consent in your country to form a binding agreement, you should only use our Service if you are either an emancipated minor or have the legal consent of your parent or guardian for your use of our Service. You should use our Service only if you are fully able to understand and enter and comply with these Terms.
2. Updates to Terms
We are always working on adding additional features to our Services, and because of that, and since sometimes applicable laws change, we may revise and reissue these Terms Occasionally, by posting updated Terms at http:// You consent and agree to receive notices of updates of these Terms through our posting of update Terms on the Services. You should visit this page regularly to review the current Terms. If you do not agree to update Terms, you should stop using our Services and/or close your account. Your continued use of any of our Services will be deemed as your acceptance of any revisions.
3. The Information You Give Us to Use the Services Must Be Correct
To access the Memo App Service of some of the features we offer in the Memo App Service, you will be asked to provide true and complete registration details. If we at Memo App believe the details are not correct, current, or complete, we have the right prevent you from accessing our Services, or any of its resources and to terminate or suspend your account.
4. Online Privacy Notice
Your privacy is important to us. To better protect your privacy, we provide notices explaining our information practices and the choices you can make about the way your information is collected and used at our Services. Click here to view our Privacy Policy.
5. Trademarks and Copyrights
Our Services and materials incorporated by Memo App on our Services (“Material”) are protected by copyrights, patents, trade secrets or other proprietary rights (“Copyrights”). Come of the characters, logos or other images incorporated by Memo App in our Services are also protected as registered or unregistered trademarks, trade names, and/or service marks owned by Memo App or others (“Trademarks”). Memo App or its licensors own the title, copyright, and the intellectual property rights in the Material and Service, and by using our Services, you do not acquire any ownership rights in Service or Materials contained therein. Memo App respects the intellectual property rights of others and asks users of our Services to do the same.
6. Your Use of Our Material
Your right to make use of our Service and any Material or other content appearing in it is subject to your compliance with these Terms. You may not modify or use the Material or any other content on our Services for any purpose not permitted by these Terms. Such prohibited use violates these Terms and may be a violation of the Copyrights and/or Trademarks protected by law. You may access and display Material and all other content displayed on our Services for non-commercial, personal, entertainment use on any computer, tablet, smart watch, or mobile device you own or control. The Material and all other content on this Service may not otherwise be copied, reproduced, republished, uploaded, posted, transmitted, distributed, or used in any way unless specifically authorized by Memo App. Also, decompiling, reverse engineering, disassembling, or otherwise reducing the code used in any software on this Service into a readable form to examine the construction of such software and/or to copy or create other products based (in whole or in part) on such software, is prohibited. You may not rent, lease, lend, sell, redistribute, or sublicense the Material and/or the Services.
7. Payments; Refunds
You can find information about payments, credits, and refunds in our Payment Police. Memo App Charges Users will be charging 10% charges for each Money Transfer request as commission.
8. Our Use of Your User Content
Memo App will consider anything you provided to Memo App, including feedback ideas or suggestions and/or contribute to this Service as Available for our use free of any obligations to you (including any payment). Under no circumstances will we pay you for the use of your ideas or submissions.
9. Claims of Infringement
If you believe that any materials accessible on or from the Service Infringe your copyrights, you may request the removal of those materials (or access thereto) by contacting our copyright agent. 10. Responsibility for Your Use
You may only use our Service and its contents for lawful purposes and in accordance with applicable law and you are prohibited from storing, distributing, or transmitting any unlawful material through this Service, otherwise you may be exposed to criminal and/or civil liability. You agree that if a third-party Claims that material you have contributed to our Service is unlawful, you will bear the burden of establishing that it is lawful. You understand and agree that all materials publicly posted or privately transmitted on or through this Service are the sole responsibility of the sender, not Memo App, and that you are responsible for all material you submitted, for publicly.
11. Security of User Accounts
If you create a User Account by selecting a password and providing your number, occupation, location, and email. You are responsible for all activities that occur under Your User Account. You agree to notify Memo App immediately of any unauthorized use of your User Account or any breach of security with respect to your User Account including your password. Memo App will not be liable for any loss that you may incur because of someone else using your User Account, either with or without your knowledge. In addition, you may be held liable for any losses incurred by us or another party due to someone else using your User Account. Memo App shall be entitled to monitor your User Account and password and, at its discretion, require you to change your password. If you use a username and password that Memo App considers insecure , Memo App will be entitled to require this to be changed and/or terminate your User Account.
12. Violation of Security Systems
You are prohibited from using any services of facilities provided in connection with this Service to compromise security or tamper with system resources and/or accounts. The use or distribution of tools designed for compromising security (e.g. password guessing programs, cracking tools, malware, or network probing tools) is strictly prohibited. If you become involved in any violation of system security, Memo App reserves the right to release your details to system administrators at other sites, law enforcement and/or governmental authorities to assist them in resolving security incidents.
13. Termination
We aspire that you will always continue to share good comments by our feedback Service, but you may terminate your relationship with Memo App at any time. If you are using our free Service, you may simply cease to use the Service. If you registered for our making money by watching video service, you can request that Memo App delete your account and our cancellation policy shall apply. Where permissible under the law, Memo App has the right to terminate your rights under our Service without notice.
14. Disclaimer of Warranties
Memo App makes diligent efforts to ensure the smooth operation of our Service; however, we cannot guarantee error-free and uninterrupted performance. Your use of this service is at your own risk. No oral or written information or advice provided by Memo App shall create a warranty.
The service and all materials, information, software, facilities, services, and other content provided on the site are offered "as is" and "as available" without warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, Memo App, its parent company App Tribe, and any subsidiaries or affiliated companies of Memo App ("The App Tribe Technologies") disclaim all warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Memo App does not warrant that the functions contained on or through this service will be available, uninterrupted, or error-free, that defects will be corrected, or that the service or the servers making the service available are free of viruses or other harmful components. Additionally, Memo App does not warrant or make any representations regarding the use or the results of the use of the material, information, software, facilities, services, or other content on the service or any websites linked to the service in terms of their correctness, accuracy, reliability, or otherwise.
Memo App makes no warranties that your use of the materials, information, software, facilities, services, or other content of the service will not infringe the rights of others, and Memo App assumes no liability or responsibility for errors or omissions in such materials, information, software, facilities, services, or other content of the service or any other website. If applicable law does not allow the exclusion of some or all of the above implied warranties to apply to you, the above exclusions will apply to you only to the extent permitted by applicable law.
If you are accessing the service from Afghanistan or another country, nothing in this agreement shall exclude or limit liability for death or personal injury resulting from the negligence of either party or their servants, agents, or employees.
15. Reservation of Rights
Memo App reserves the right to modify or discontinue, temporarily or permanently, all or any part of this Service and/or any software, facilities, and services on this Service, with or without notice and/or to establish general guidelines and limitations on their use.
16. Local Regulations
We make no representation that our Service is available for use or permitted by law in any location. To the extent you choose to access our Service, you do so on your own initiative and are responsible for compliance with any applicable laws, including but not limited to applicable local laws. You are responsible for complying with local laws, if and to the extent local laws are applicable. You specifically agree to comply with all applicable laws concerning the transmission of technical data exported from the UAE or the country you reside in.
17. Third-Party Services
This Service may link you to other sites on the Internet and third-party partners which cooperate with us to provide you certain Services, such as Network Operators and Banks. These sites may contain information or material that some people may find inappropriate or offensive. These other sites are not under the control of Memo App, and you acknowledge that (whether such sites are affiliated in any way with Memo App) Memo App is not responsible for the accuracy, copyright compliance, legality, decency, or any other aspect of the content of such sites, and that your use of such sites is subject to their respective terms of use. The inclusion of such a link does not imply endorsement of any site by Memo App or any association with its operators.
18. Memo App
cannot ensure that you will be satisfied with any products or services that you purchase from any third-party site that links to or from Memo App since the third-party sites are owned and operated by independent retailers. Memo App does not endorse any of the merchandise, nor has Memo App taken any steps to confirm the accuracy or reliability of any of the information contained on such third-party sites. Memo App does not make any representations or warranties as to the security of any information (including, without limitation, credit card and other personal information) you might be requested to give any third-party, and you irrevocably waive any claim against us with respect to such sites. We strongly encourage you to make whatever investigation you feel necessary or appropriate before proceeding with any online transaction with any of these third parties.
19. Non-US Residents
If any controversy, allegation, or claim (including any non-contractual claim) arises out of or relates to the Service or the Terms (a “Above Section (b) Dispute”), then you and we agree to send a written notice to the other providing a reasonable description of the Above Section (b) Dispute, along with a proposed resolution of it. Our notice to you will be sent to you based on the most recent contact information that you provide us. But if no such information exists or if such information is not current, then we have no obligation under this Above Section (b). Your notice to us must be sent to us at info@memoapp.us. For a period of sixty (60) days from the date of receipt of notice from the other party, Memo App and you will engage in a dialogue in order to attempt to resolve the Above Section (b) Dispute, though nothing will require either you or Memo App to resolve the Above Section (b) Dispute on terms which either you or Memo App, in each of our sole discretion, are uncomfortable with.
If your Section (b) dispute against Memo App involves a paid Memo App Service and we are unable to resolve it through dialogue (as described above), Memo App Will Directive on Consumer Alternative Dispute Resolution. The European Commission Online Dispute Resolution (“ODR”) can be accessed at eu.europa.eu/odr.

21. General
If any provision of these Terms is adjudged, by written decision, to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions. This is the entire agreement between you and Memo App relating to the matters contained here and the Service. In the event you read these terms in any language other than English, you agree that in the event of any discrepancies, the English version shall prevail Memo App may change these TOU at any time for a variety of reasons, such as to reflect changes in applicable law or updates to Memo app, and to account for new features or functionality.
